PLEASE READ THESE TERMS OF USE CAREFULLY, THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS INCLUDING MANDATORY ARBITRATION, NO CLASS RELIEF, AND WAIVER OF YOUR RIGHT TO A JURY TRIAL.
The LT Shop Rewards Program ("Program") is a loyalty program sponsored and operated by Life Time, Inc. and its subsidiaries (collectively, “Life Time”). The following Program terms and conditions (“T&Cs”) govern your membership and participation in the Program. Participation in the Program subjects LT Shop Rewards participants of the Program ("Participants") to these terms and conditions and as they may be periodically amended or updated at https://shop.lifetime.life/ (the “LT Shop Website”). Updated T&Cs replace all previously published T&Cs or policies. Members have the responsibility to check for any updates to the Program or the T&Cs. If the T&Cs are updated, any changes will apply to all Members, including Members enrolled before Life Time posts the updated text, except as may be prohibited by law. No changes to the T&Cs will apply retroactively unless we provide you with specific notice. Occasionally Life Time may test or make available new offers, promotions or program benefits with a certain subset of Members based on factors within Life Time’s sole discretion, except as may be prohibited by law. By visiting, accessing, or using any part of our services, you expressly accept, agree, and consent to the T&Cs. Your continued use of the Program after any modification to the Program or update to the T&Cs constitutes your conclusive acceptance of any such modification or update. If you do not agree to these T&Cs, you must not participate in the Program and your sole remedy is to discontinue your Membership (as defined below).
To the extent Life Time provides you notice of different or additional terms or practices, those additional terms will govern your use of any such services, for example, Life Time’s website or online at https://my.lifetime.life/policy/terms-of-use.html (the “Website”). Not every Participant is entitled to participate in every new offer, promotion or program benefit offered through the Program.
The collection and use of any information you provide to us during registration or participation in the Program will be governed by our Privacy Policy (https://my.lifetime.life/policy/privacy-policy.html) as may be revised or amended at any time.
LIFE TIME MAY CHANGE THESE T&CS, IN WHOLE OR IN PART, AT ANY TIME WITHOUT NOTICE, EVEN THOUGH CHANGES MAY AFFECT THE BENEFITS AVAILABLE TO PARTICIPANTS AND/OR THE VALUE OF ANY POINTS OR REWARDS (AS DEFINED BELOW) ALREADY ACCUMULATED BY A PARTICIPANT.
BY PARTICIPATING IN THE PROGRAM, LOGGING ON TO THE PARTICIPANT’S ACCOUNT, REDEEMING POINTS, AND/OR OTHERWISE PARTICIPATING IN THE PROGRAM, YOU CONFIRM YOUR ACCEPTANCE OF THESE T&CS AND THE PRIVACY POLICY.
Membership Eligibility
The Program is a loyalty rewards program offered by Life Time to its customers located in the United States. Membership in the Program (“Membership”) is limited to individuals only and is limited to one account per individual. Employees, officers, directors, agents and representatives of Life Time and its affiliates or franchisees are eligible for Membership but may be excluded from certain promotions. To be eligible for Membership, you must provide a valid email address and be age 18 years or older. Eligible minors must obtain their parent’s or legal guardian’s consent prior to participation. The Program is offered in the English language only. You must be located in the United States in order for us to provide Membership benefits to you.
Each applicant will be required to provide, without limitation, his or her name, and e-mail address. Applicants may also be asked to provide other information about themselves such as birthdate and interests so that we may provide a more personalized program, but this information is optional. Life Time reserves the right to refuse or restrict your participation in the Program for any reason. Life Time also may enroll you automatically in the Program if you previously created a Life Time account and/or profile via my.lifetime.life.
NO PURCHASE OF PRODUCTS IS NECESSARY TO ENROLL. The Program is void where prohibited by law. Affiliates, partners or distributors of Life Time may also have similar customer programs; Membership in the Program does not confer any rights or benefits in the program of any other Life Time affiliate, partner or distributor of Life Time.
Participants are responsible for maintaining accurate and updated personal information regarding their account ("Account"). In connection with your Membership, you will be required to select a password in order to access your Account online. You are solely responsible for maintaining the confidentiality of these login credentials, and you are solely responsible for all use of your login credentials to access your Account, whether authorized by you or not. We strongly recommend that you log out of your Account when not in use. You agree to notify us immediately of any unauthorized use of your password or any other breach of Account security. Access and use of a Program Account is restricted to authorized Participants. Individuals, including Participants, attempting to access any restricted areas of the Program without authorization may be subject to prosecution.
Communications
When you enroll in the Program, you consent to receive (a) transactional emails regarding the status of your Account and the Program; and (b) marketing and promotional email offers and updates from the Program and from Life Time and its affiliates. Participants may not unsubscribe from receiving a transactional email regarding the Program. Participants may withdraw consent and unsubscribe from Life Time and/or affiliate or partner marketing and promotional emails at any time via the unsubscribe link in that email or via telephone at (888) 475-1843.
Offers
Participants may receive offers during your Participation. Offers may include, but are not limited to, price-discounts, points-earning opportunities, birthday offers, shipping discounts, shopping events and other promotions. Offers will be subject to additional details, exclusions and terms. In addition, as a Participant, you may receive other opportunities, such as early notification about upcoming events and sales, notification of new products and personalized recommendations.
Earning Points
You earn Program points (“Points”) whenever you make a purchase at the LT Shop Website (https://shop.lifetime.life/), subject to the conditions and terms herein. Points cannot be accumulated on purchases made (a) before a Participant initiates an Account or (b) under “guest” checkout when not logged in to your Program Account. Participants accumulate one point for every $1 USD spent on any eligible product when logged in and enrolled in the Program. Notwithstanding the foregoing, points and their values: (a) are determined by Life Time in its sole discretion; (b) are subject to change without notice; and (c) may vary among activities and promotions.
The dollar amount of any eligible product purchased will be rounded up to the nearest whole dollar before accumulated points are calculated. The dollar amount for the purpose of calculating Points earned is on the actual dollars spent at checkout, less taxes, fees, delivery charges, surcharges, rebates, or other excluded charges.
Points Expiration and Non-Transferability
EXCEPT AS OTHERWISE SET FORTH IN THIS SECTION OR WHERE PROHIBITED BY LAW, POINTS EXPIRE NINETY (90) DAYS FROM ISSUANCE SO LONG AS THE PARTICIPANT HAS NOT BEEN TERMINATED OR WITHDRAWN FROM THE PROGRAM OR PRIOR EXISTING AGREEMENTS EXIST BETWEEN PARTICIPANT AND LIFE TIME ALTER THE EXPIRATION DATE. POINTS WILL EXPIRE AFTER NINETY (90) DAYS REGARDLESS OF WHETHER THERE IS SUBSEQUENT TRANSACTIONAL ACTIVITY IN YOUR ACCOUNT, SUCH AS EARNING ADDITIONAL POINTS, REDEEMING POINTS OR LOGGING INTO YOUR ACCOUNT. ACCORDINGLY, WE STRONGLY RECOMMEND THAT YOU REDEEM POINTS AS SOON AS POSSIBLE AFTER ISSUANCE. Points cannot be earned by a Participant after the Program is terminated or the Participant has terminated or deleted their Account or Membership, either by such Participant or by Life Time for cause. Unless prohibited by law, unused Points automatically are forfeited upon termination of the Program or when a Participant’s Account or Membership is cancelled or terminated or the Participant’s participation in the Program otherwise is terminated.
Participation, Points, Accounts, offers and Rewards are nontransferable, have no cash value, may not be purchased, and are not redeemable for cash under any circumstances except as required by law. Accumulated Points, offers and rewards certificates do not constitute property of the Participant. Accumulated Points or any other benefits under the Program are not transferable by the Participant upon death, as part of a domestic relations matter, or otherwise. Points and other benefits of the Program may be taxable where required by law. Accrual and redemption of Points are void where prohibited by applicable laws or regulations and are subject to change as may be necessary to comply with such laws or regulations.
Entities or persons using the Program for profit are not eligible to become Participants or to accumulate Points.
Points Redemption, Reward Redemption, and Other Benefits
You may be sent an Account statement periodically by email, at the email address registered with your Account, which will reflect the status of your Account. We suggest adding Life Time to the approved senders list in any spam filter you are using. We have no responsibility for ensuring that you receive emails we send to you. Points are redeemable for rewards which can be redeemed towards future purchases of merchandise at the LT Shop Website (https://shop.lifetime.life/) (“Rewards”). We may require you to accumulate a minimum number of Points in order to be eligible to redeem for a Reward. Upon redemption of Points for a Reward, Life Time will deduct the applicable number of Points from your Account. The corresponding Reward will appear in your online Account. Rewards may not be used at Life Time clubs or retail locations, or third-party stores which sell Life Time products. To redeem your Reward online on the LT Shop Website you need to log-in to your Account. Rewards can only be redeemed towards the purchase price of merchandise on the LT Shop Website, and not towards taxes, shipping or other charges. Rewards are not redeemable for cash and have no cash value. Once Points are redeemed for a Reward, the transaction cannot be reversed.
REWARDS EXPIRE NINETY (90) DAYS FROM THEIR DATE OF ISSUE. NO PARTIAL REDEMPTIONS. If the price of merchandise you wish to purchase is more than the value of a Reward, you will need to pay for the remaining cost of the product. If the price of merchandise you wish to purchase is less than the value of a Reward, the entire amount of the Reward will be redeemed in the transaction the Reward will have no remaining value or use in any subsequent transaction. Additional exclusions and limitations related to Rewards may be specified at the discretion of Life Time. Participants may be notified of additional eligible and ineligible merchandise at the point of redemption.
No Resale of Products
Products purchased or obtained under the Program are for Participant’s personal use only. Participants are prohibited from reselling any product acquired under the Program (including eligible products purchased to accumulate points and eligible products acquired through the redemption of a Reward). Should a Participant resell any product purchased or otherwise obtained pursuant to the Program, Life Time reserves its rights to take any and all actions it deems necessary to address such violation, including, but not limited to, terminating the Participant’s Membership and forfeiture of the Participant’s Points and Rewards accrued in the Program.
Returns
If you return merchandise, the Points you had earned from the purchase of that merchandise will be deducted from your Points balance. In the event that Participant returns merchandise that was partially or wholly paid for with Points, the Points used in connection with the purchase will be reissued. The reissued Points will expire ninety (90) days after the reissuance date, rather than the date the Points were originally issued.
Cancellation
A Participant may cancel his or her Membership and Account via the Website. In addition, Life Time, in its sole discretion, also reserves the right to cancel any individual’s Membership. Cancellation of Membership results in loss of all accumulated Points and unredeemed Rewards. Participants who cancel voluntarily may not re-activate their Account but are eligible to open a new Account without the benefit of the previously accumulated Points. You may not earn or redeem Points or Rewards after cancellation. Please note that, in some cases, you may continue receiving messages, including messages that were scheduled for delivery prior to cancellation, after you cancel your Account and disenroll.
Changes, Termination, And/Or Removal From Program
Life Time may, in its sole discretion, alter, limit, or modify the Program rules, regulations, benefits, eligibility for Membership, or any other feature of the Program (including assigning any of its obligations to customers under the Program at any time to another person or entity, without recourse) or may terminate the Program any time at its sole discretion, by posting any such changes on the Website.
Life Time reserves the right to exclude individuals from the Program in its sole discretion at any time and for any reason without liability to Life Time, to the extent permitted by law. Any abuse of the Program, failure to follow these T&Cs or any other terms of the Program, Membership inactivity for more than twelve (12) months, any misrepresentation or any conduct detrimental to the interests of Life Time, including without limitation any attempt by you to accrue Points or redeem Points or Rewards fraudulently or through other than legitimate channels or tamper with the Points accrual or Points/Rewards redemption process or your violation of applicable law may result in revocation of your Participation and future disqualification from participation and forfeiture of all Points and Rewards accrued in the Program. Accounts, Rewards, and Points are non-transferable and purchases must be made by the Participant(s). If your Account and/or Membership is revoked or otherwise cancelled, any Points and Rewards in your Account will automatically expire. In connection with the enforcement of T&Cs, Life Time reserves the right to take appropriate legal action, as it deems necessary, and to recover damages, attorneys’ fees and court costs. The failure to exercise or enforce any right hereunder or any other provision of these T&Cs shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Life Time in writing.
Legal Terms
Entire Agreement. These T&Cs, and any other documents and policies referenced herein and on the Website, constitute the complete and exclusive understanding between Life Time and Participant relating to the subject matter hereof and supersedes any prior versions of these T&Cs as well as all prior or contemporaneous understandings, agreements, communications, and/or advertising with respect to such subject matter.
Proprietary Rights
You acknowledge that Program content (including but not limited to text, sound, photographs, graphics, button icons, digital downloads, data compilations (including Participant and Life Time information) logos or other material contained in any Life Time communication, advertisement or message, whether by Life Time or its advertisers), information about Life Time and its products and services, copyrights, trademarks, service marks, trade names, and software are protected by copyright, trademark, service marks, patents and/or other proprietary rights and laws; therefore, any such content may be displayed solely for your personal, non-commercial use. You agree not to modify, reproduce, retransmit, distribute, disseminate, sell, publish, broadcast or circulate any such material without the written permission of Life Time or its appropriate affiliate or licensor. Life Time does not license any sponsor, advertiser, partner, Participant or user to use any portion, or all, of the Program without our express prior written consent.
Notices
Notices given by Life Time will be transmitted, in our sole discretion, by e-mail or regular mail to the addresses on file with your Account, or by general posting on the LT Shop Website.
Waiver of Claims
Participation in the Program and any of its associated benefits, including the Points and Rewards, is at Participant’s sole risk. The Points, Rewards, and other Program benefits are provided only on an “as is” and “as available” and “with all faults” basis. Participant hereby releases and waives any and all claims against Life Time and its parents, subsidiaries, and affiliates, and each of their employees, directors, officers, members, shareholders, agents, vendors and contractors (collectively, the “Program Providers”) arising out of, or in connection with, Participant’s enrollment or participation in the Program, the availability, redemption, or use of any Points or Rewards, the information available thereon, the modification or termination of this Program or any aspect of the Program.
Severability
If any provision of these T&Cs or portion of a provision is held to be unlawful, void or for any reason unenforceable, that provision (or portion of the provision), to the extent required, will be severed from these T&Cs but such severance will not affect the validity and enforceability of the remaining provisions of these T&Cs.
Limitation of Liability
The Program Providers shall not be liable to Participant or anyone else for any loss or injury or any direct, indirect, incidental, consequential, special, punitive or similar damages, including, but not limited to, loss of profits, goodwill, use, data or other intangible losses, arising out of Participant’s (i) access or use of, or inability to access or use, the Program or the Points or Rewards, (ii) unauthorized access to or alteration of Participant’s Program Account data, including Points, (iii) access or use of, or inability to access or use, information made available through the Program or arising out of any action taken in response to or as a result of any information available through the Program, or (iv) any other matter relating to the Program. In addition, Life Time is not responsible, and assumes no liability, for any changes or discontinuances of goods or services from our suppliers, which may affect the availability of Points or Rewards or the accrual of Points. In no event will the Program Providers’ total liability to you for all damages, losses or causes of action exceed $50 USD or the value of any redeemed Point or Reward that is subject to such damage, loss or cause of action, whichever is less.
Disclaimer of Warranties.
The Program Providers expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement, warranties related to the availability and use of Points, Rewards, and other Program benefits, and any warranties that the Program will be uninterrupted, timely or error free or that defects will be corrected. No advice or information, whether oral or written, obtained by a Participant from or through the Program or Life Time shall create any warranty not expressly made herein. Life Time shall not be liable or responsible for any guarantees, warranties or representations, if any, offered by advertisers, manufacturers of merchandise, or suppliers of services. Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental, consequential or other damages. Accordingly, some of the above limitations and exclusions may not apply to you.
Indemnification.
You agree to indemnify and hold the Program Providers harmless from any loss, liability, claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of: (i) your participation in the Program, (ii) your use of any Points, Rewards, or other Program benefits, or (iii) your violation of this Agreement. You understand, acknowledge and agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the Program or this Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred.
Choice of Law; Jurisdiction.
These T&Cs, and your access to and use of the Program, shall be governed by and construed and enforced in accordance with the laws of the State of Minnesota without regard to conflict of law principles (whether of the State of Minnesota or any other jurisdiction) that would cause the application of the laws of any other jurisdiction. For any Dispute (as defined below) between the parties that is not subject to arbitration or cannot be heard in small claims court, you and Life Time submit to the personal and exclusive jurisdiction of the state courts and federal courts of the State of Minnesota and the United States, respectively, located within the State of Minnesota, County of Hennepin. Life Time operates the Program from its offices in Minnesota and makes no representation that the Program is appropriate or available for use in other locations.
General. Our failure to exercise or enforce any right or provision of these T&Cs shall not constitute a waiver of such right or provision by us. If any provision of these T&Cs is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of our T&Cs remain in full force and effect. By participating in the Program, you affirm that you are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these T&Cs, and to abide by and comply with these T&Cs.
ARBITRATION AGREEMENT WITH CLASS ACTION WAIVER
Mandatory Binding Individual Arbitration. Except as expressly provided below, Life Time and you (each a “party” or, together, “us,” “we” or “parties”) agree that any dispute, claim, case, or controversy (whether based in tort, contract, statute, regulation, ordinance, equity or any other legal theory) between us (whether arising out of or relating to past, present or future acts or omissions) (“Disputes”), including the arbitrability of any Dispute, shall be exclusively resolved by binding arbitration on an individual basis, rather than in court (“Arbitration Agreement”).
Waiver of Class Actions. We each agree that we will assert Disputes in arbitration only in our individual capacity, and not as a representative or member of any purported class. We each agree that we will not participate in any class, mass, collective, consolidated, private attorney general or other representative arbitration proceeding. Each party agrees that the arbitrator has no authority to arbitrate Disputes on a class-wide basis and shall not consolidate, combine, or jointly arbitrate Disputes of more than one person in a single arbitration.
Waiver of Jury Trial. We waive our constitutional and statutory rights to go to court and have a trial in front of a judge or a jury, electing instead to resolve by binding arbitration all Disputes.
Disputes Not Subject to Arbitration. There are only three exceptions to this Arbitration Agreement:
Small Claims. Either party may bring individual Claims in small claims court.
Personal Injury Claims. Both parties must litigate personal injury Claims in court. For purposes of this exception, personal injury Claims are Claims arising from injury to the physical structure of the human body.
Emergency Equitable Relief. Either party may seek temporary injunctive relief or other equitable relief in court pending arbitration. A request for interim measures will not be deemed a waiver of any other rights or obligations under this Arbitration Agreement.
Arbitration Procedures. Either party may initiate an arbitration proceeding, which will be conducted by a single neutral arbitrator.
Arbitration Providers. Each party has a choice of initiating arbitration before either the American Arbitration Association (“AAA”) or JAMS, which are both established alternative dispute resolution providers (“ADR Providers”). If neither AAA nor JAMS is available to arbitrate, we will agree to select an alternative ADR Provider to administer the arbitration in this Arbitration Agreement.
Arbitration Rules. The arbitration will be conducted under the AAA Consumer Arbitration Rules (available at www.adr.org) or JAMS Streamlined Arbitration Rules and Procedures (available at www.jamsadr.com) (“Arbitration Rules”). The rules of the ADR Provider will govern all aspects of the arbitration, except to the extent such rules are in conflict with this Arbitration Agreement.
Arbitration Location. The arbitration hearing will be held at the ADR Provider’s location that is closest to the claimant’s primary residence, unless the claimant primarily resides outside the United States (in which case the arbitrator will give the parties reasonable notice of the date, time and place of any oral hearings.)
Fees. Payment of all filing, administrative, and arbitrator fees will be governed by the Arbitration Rules.
Arbitrator’s Authority and Award. The arbitrator will decide the rights and liabilities, if any, of the parties, and the dispute will not be consolidated with any other matters or joined with any other cases or parties. The arbitrator will have the authority to grant motions dispositive of all or part of any Claim. The arbitrator will have the authority to award monetary damages, and to grant any non-monetary remedy or relief available to an individual under applicable law, the ADR Provider’s Rules, and this Arbitration Agreement. The arbitrator will issue a written award and reasoned statement of decision describing the essential findings and conclusions on which the award is based, including the calculation of any damages awarded. The arbitrator has the same authority to award relief on an individual basis that a judge in a court of law would have. Any award will be subject to judicial confirmation or entry in any court having jurisdiction.
Governing Law. This Arbitration Agreement is governed by the Federal Arbitration Act and federal arbitration law.
Confidentiality. All aspects of the arbitration proceeding, including but not limited to the award of the arbitrator and compliance therewith, will be strictly confidential. The parties agree to maintain confidentiality unless otherwise required by law. This paragraph will not prevent a party from submitting to a court of law any information necessary to enforce this Arbitration Agreement or to enforce an arbitration award.
